Who would win and why.???

dark phoenix has my vote...
superman draws his power from the sun
phoenix can consume whole star systems with just a thought..
spawn would have to use all his power to defeat her which would return him to hell..
thats why they killed her off in the dark phoenix saga because she was too powerful..
now we have avengers vs x men ( the return of phoenix.. goodbye hope.. )

I agree... there's no contest. Dark Phoenix can pretty much do what she/it wants by thinking of it, but *does* expend energy and needs refuling.
Like was said, Superman: "Now I'm going to attack you with my..." Dark Phoenix: "Goodbye Sun." Superman: *gasp*... *choke*... *die*.
I think a good one would be - Dark Phoenix vs The Beyonder vs Molecule Man

Win goes to Spawn! Superman would attack Phoenix thinking she was the bigger target after delivering a mighty blow to Spawn. Thinking that Spawn was through, because he would let Superman and Phoenix go at it for awhile, Spawn would wait for the moment that Phoenix drains Superman of his Yellow sun power and expose him to Kryptonite flame that she blew at him. Spawn would deliver the finishing blow and decapitate Mr.Kent. Then Spawn would find a way to bring out Jean more so she controls the Phoenix. The two would share a psychic link and Jean would open the tiniest hole in the Phoenix so Spawn could slice her brain open and unload a massive barrage of bullets on her falling corps. Nothing left but blood, ash and a horrible smell.

Phoenix and Supes team up to make Spawn the simpering sissy he is then Phoenix makes quick work of Superman. Superman goes home to Lois and tells her he wants a divorce. Once divorced he marries Jimmy Olsen. Two years later Clark finds out that due to Jimmy's dabbling in heroin whenhe was younger they both have AIDS. Superman, never having had to fight an actual virus before, is ravaged in months.
IN the meantime Dark Phoenix has taken over the world and entertains herself by pitting both heroes and villains in fights to death buck naked in the snow with no weapons or super powers. She just sits and smokes while she watches, tapping her ash into the Spawn Skullcap ashtray she has. She is nice and toasty nuder her blanket made from Superman's cape.
The end
PS Papa Smurf eventually disposes Dark Phoenix in the Smurfiest death match you have ever seen.
